|
Property owners in each CPN Delegate District select a
Delegate as their representative to the Master Association. In Districts where
the homes are occupied, the Delegate is typically a homeowner/ resident of the
area, elected through the HOA for the District. In Districts where the lots
are still predominantly owned by the builder/ developer, the company typically
appoints one of their employees or agents as the Delegate. Once named as a
Delegate, there is no legal distinction between homeowner or builder/developer
delegates, however they are listed separately below for informational purposes.
Delegates primary legal role
is to meet once a year at the Master Association’s Annual Meeting to elect the
Board of Directors. Throughout the year, the Board of Directors manages the
business of the Association, and holds monthly Board meetings, which Directors
are expected to attend. Delegates may also choose to play the role of
maintaining communications with their respective neighborhoods throughout the
year. Individuals elected to a Director role continue to serve as the
representative from their Delegate District (they are listed in the Directors
section, above). All other Delegates will also receive notice of the
association’s monthly Board meetings and are invited to attend. Both Directors
and Delegates may participate in discussions, prior to formal vote by the
Directors. This is a very brief summary of roles; see other Master Association
documents for details.

Hidden Pointe representatives participate in the Master Association’s monthly meetings in the same way as Delegates. The distinction is that Hidden Pointe HOA is an “Associate Member” of the Master Association, rather than a “Sub-Association” of the Master, so their representative(s) do not vote at “Delegate Meetings” such as the annual election of Directors, and are not eligible to be a candidate for Director.

Alternate delegates are named as a “backup” to the
primary Delegate.
The legal role of the Alternate is that if the primary Delegate
is absent at the Annual Meeting of Delegates, the Alternate may cast the votes
for their Delegate District.
If the primary Delegate resigns during the year, the
Alternate may step into the role of being the communications liaison with the
neighborhood, or the HOA for that Delegate District may choose another primary
Delegate.
