BOARD OF DIRECTORS MEETING
7:00 P.M. – July 15, 2004
Castle Pines North Community Center

1.  CALL TO ORDER

A.  Introductions/Roll Call/Absences

President Linda Nuzum called the July 15, 2004 meeting of the CPN Master Association Board of Directors to order at 7:05 p.m.  A quorum was not established, but it was decided to continue with an information-only meeting. 

Attendance

Directors present: Linda Nuzum, Maureen Shul and Sheri Brummett

Directors absent: Bruce Thompson, Doug Gilbert and Brian Stopps

Delegates present: Ted Lohr, Jason Gibb, Carol Finnegan (temporary delegate, The Retreat) and Elisa Trebilco

Delegates absent: Bob Micho, Nancy Clarke, Connie Dahl, Chris Fellows, Debbie Smith, Doug McCormick, Ken Naes, Barbara Saenger, and Mark Feilmeier.  In addition, Hidden Pointe has not named a delegate.

Staff:  Cheryl McDade, Alison Gibbens, Tim Gamble, Melanie Fischer and Lane Roberts

Guests:  None

B.  Board Meeting Process

Since there were no guests, it was not necessary to explain the meeting process.

C.  Approval of Agenda

Brummett suggested that we follow the agenda and delay any voting to the next meeting since a quorum is not present.

2. BOARD MEMBER RESIGNATION

Nuzum announced that Cheryl McDade has resigned as a Director.  McDade has sold her home in The Retreat that qualified her to serve as their delegate and to be eligible to sit on the Board of Directors for the Master Association. 

McDade expressed her gratitude and feels that there are many active delegates from which to appoint a replacement who will complete her 2 year term as Director.

Gibbens will send an email to all of the delegates announcing McDade’s resignation and requesting those interested to please send an email to the association at admin@cpnhoa.org.  The candidate should be prepared to give a brief statement at next months meeting and the board will then motion to fill the seat.

McDade will continue to participate actively in Master Association affairs in her role of providing financial management services for the Association.

3. MINUTES

A. June 17, 2004 Minutes

A quorum was not present and the June 17, 2004 minutes will be approved at August’s meeting.

4.  OPEN FORUM

There were no guests present to speak during the Open Forum.

5.  MANAGEMENT/FINANCIAL

A.  Monthly Financial Report

The monthly financial and statistics report for June was distributed along with July payables. 

McDade reviewed the financial report for June.  She noted that June was a record month for closings.  The Association had a total of 2,886 master association member homes with a total of 68 homes closing (25 new homes, 30 re-sales and 13 lots).   The Association continues to be in good financial standing and we are on target to exceed the projected increase in new members for the year.

McDade noted that the association continues to collect 2004 dues through closings and the annual billing for 2004 is nearing an end, with intent to lien notices being sent out and lien processing as the final step.

McDade reviewed the financial statement noting that we have now reached the point in the year where management fees are now in line with budget numbers. 

The June Financial Reports, the July Payable Report will be approved at next months meeting.

B. Systems

System Security and Hosting Changes


Last month the Association completed the change to the new web server which includes the Association’s email system.  Currently, systems administrators are working on fine tuning the server, flagging potential spam and monitoring virus hits.  Next, the Association will begin to work on illicit email address harvesting by outside sources from our website. 

Programming for Email Alerts

The end of next month should bring the first testing of the web-based program for sending community email alerts.  Eventually, this will enable authorized sub association representatives to send emails directly to their members, while maintaining the security of the list. 

Programming for Sub-Association Information

The Access programmer is continuing work on database modifications to capture detailed information about sub-associations. Work will begin later on the program to display on this information on the web site. 

C. Future Home Build out Report

McDade reported that as part of preparing for next year’s budget, she visited current CPN builders to obtain their buildout projections.  She presented a spreadsheet showing each builder’s count of homes currently under contract, under construction, and total lots remaining.  Overall, building is proceeding at a pace which exceeds prior estimates.  The tract-home builders expect to be sold out within the next year, thus these neighborhoods are expected to be completed by 2006.  The custom-home areas may take several years to complete. 

D. 2003 Review/Tax Return

McDade passed out the completed 2003 Financial Review.  The tax return was signed, and approval of the Review will be deferred until next month.

6.  COMMITTEES - COMMUNITY ACTION

A. Safety

Nuzum reported That Safety Committee Chair Janet Conner continues to work with each of the emergency preparedness agencies that serve our area.  She and other committee members continue to check into the feasibility of emergency sirens, radios, and internet-based programs for providing ways to keep CPN residents better informed of emergency situations.  The committee is also working with the agencies to assure that there is a good emergency plan that integrates all of CPN’s unique needs.

B. Development Referrals

Gibbens noted that we have had many complaints from residents concerning the weeds in the median from I25 to Charter Oaks Lane.  This area is located outside of CPN boundaries and complaints should be directed to the County.  The problem has been reported to the county and she expects a response in the next 10 days.

Castle Rock Bank

There is no new information to report on Castle Rock Bank.

New Commercial Development and CC20 Update

Nuzum reported that the Development Committee has learned that there may be some commercial development deals announced soon for the commercial piece of the LaGae property located on the north side of Castle Pines Parkway and next to the DCS Montessori, and for the land south of Castle Pines Parkway, west of LaGae Road (behind the homes in Royal Hill); the committee has not heard of the potential owner/occupant(s) and will continue to check on the status.

To date, the committee has not heard of any firm activity with respect to CC20, the commercially-zoned land located at the North West corner of Castle Pines Parkway and Monarch.  The committee is continuing to work on contacting the land owners regarding this parcel.

The next Connection newsletter will include an article notifying residents that additional commercial development may be coming soon; and reinforcing that the land has always been zoned for commercial development, that land owners have rights to develop the land, and that the private market will decide what types of businesses locate here.

The committee will design a survey for residents to provide input as to the types of development that would be as compatible with our community as possible.  The survey will be conducted via the CPN web site; the committee will summarize the results for potential business owners and our community.

7. COMMITTEES-MASTER ASSOCIATION

A. Communication.

Master Association Communication

Nuzum reported that the communications group has been working toward establishing timelines, assigning personnel and deadlines for newsletter, web and email communications.

Web

The webmaster has been busy updating the site and has recently been working with North Lynx and Romar HOA’s posting documents and information for the associations.  Gamble reported that he continues to get greater requests for information as related to the Market Place and the Business Directory.  Nuzum reported that the web system administrator has been finalizing technical changes required to allow multi-user publishing.

Newsletter

The deadline for the Connection is today, July 15th, and the next deadline is September 15th for the October/ November issue.

B. Business Relations/Advertising

Nuzum reported the advertising issue that was addressed last month was resolved.

C. Social Events

Nuzum reported Social Committee Chair Kenny is currently working on the CPN Summer Picnic.  The picnic is scheduled for August 21 from 4:00 p.m. to 7:00 p.m. at Coyote Ridge Park.  Tickets will be on sale at BankWest and Little Italy Pizzeria with the cost being $6.00 for adults and $3.00 for children of all ages.

Nuzum noted that there is no new information to report on planning for the Master Association’s fall event.

8.  PARKS AUTHORITY

McDade reported that Tract J, a large parcel previously owned by Douglas County, has been conveyed to the Metro District for the new park to be located off of Castle Pines Parkway at LaGae Rd.  The District continues to work on the details of the needed LaGae parcel and expects to break ground late fall.

Nuzum noted that Parks Authority Representative Mark McDade will continue to serve in his role as the Master Associations representative as the contract with the Parks Authority does not stipulate that the representative be a CPN resident.

9.  METRO DISTRICT UPDATE

The Metro District continues to work on completing the well located off of Hidden Pointe Blvd., to the north.

The Metro District has hired a new Parks and Open Space Manager.    This position will start July 26, 2004.

McDade noted that the District went through a billing conversion that took longer than expected.  For June, residents will receive two months worth of water bills, May and June’s bills.  The new bills have a different format and additional space for the district to provide more information as needed.

Roberts reported that the next Metro District newsletter will arrive in homes in August.

10.  OLD BUSINESS

A. Hidden Pointe

Nuzum reported that the HP HOA Manager had contacted her to report there have been changes to the Hidden Pointe Board of Directors.  One new director was voted into office at their Annual Meeting in June, and the other two board members submitted their resignations at that meeting.  The Hidden Pointe HOA is holding a special meeting on July 22 to fill these positions and vote on an increase in the number of board members from 3 to 7.

Nuzum also reported that the HP HOA Manager and the one current member of the HP HOA Board have asked to defer plans for sitting down to discuss the lawsuit until the vacant board positions have been filled.

The Master Association, Metro District, and Parks Authority have put further action in the Hidden Pointe lawsuit on hold pending the formation of the new HP HOA board.

The HP HOA has not named a new Delegate to the Master Association. Hidden Pointe residents who have questions as related to the Master Association should contact the association at 303-482-3078 or email admin@cpnhoa.org.

B. Signage

McDade and Gibbens have not received updates or corrections and request that this item be tabled.  Board members and delegates are reminded to please send McDade any thoughts, ideas or updates to draft 3 of the Sign Guidelines prior to next month’s meeting.

C. Pet Policies

Gibbens reported that Gilbert is unable to attend this evening and requests that this item be tabled.

D.  Xcel Power Line Rebuild

Nuzum requested that this item be tabled.

E. Air Traffic Committee Update

Shul reported that the FAA office has not yet started the formal comment period for their noise assessment for Centennial Airport; however they continue to monitor noise complaints. They have been receiving an increasing number of complaints from the CPN area.  Initailly, most of the complaints had come from areas further north, such as Lone Tree. 

Shul noted that runway construction at Centennial this summer will force planes to use an alternate, shorter runway.  Therefore, planes may not reach their normal altitude by the time they fly over CPN, and residents may notice more plane noise. McDade suggested that we add this information to a time appropriate email advising residents on where and when to voice their concerns over the noise.

Shul provided the Centennial noise complaint number, and residents are encouraged to report date, time and description of aircraft if available to 303-790-4709.

It was noted that this applies only to aircraft flying in and out of Centennial Airport, and that military aircraft does not fall under the noise restrictions.

Fischer will handle news articles about this situation.

11.  NEW BUSINESS

A. School Committee Update

Nuzum reported that she has been receiving calls from residents with concerns regarding capacity issues, and class sizes at some grade levels, for the elementary schools in the CPN area. Nuzum reported that concerned parents should talk with their school principal regarding any issues specific to their child’s particular needs, but that the Master Association will re-activate the Schools Committee to work with both schools, and with the Douglas County School District, regarding overall planning for school capacity needs within our community. 

A group of CPN parents are currently looking at beginning a new charter school based around the Core Knowledge curriculum.

12.  ADDITIONAL HOMEOWNER INPUT

Alternate Delegate Gibb announced that the transition of the Romar HOA from the developer to the homeowners will occur at the HOA meeting on August 10.
