BOARD OF DIRECTORS MEETING

7:00 P.M. – June 21, 2007

Castle Pines North Community Center

1.  CALL TO ORDER

A. Introductions/Roll Call/Absences

The June 21, 2007 meeting of the CPN Master Association Board of Directors was called to order at 7:00 p.m.  A quorum was established.

Attendance

Directors present: Maureen Shul, Jennifer Havercroft-Miller, Kim Hoffman, Janet Conner and Doug Gilbert

Directors absent: Pat Brierley and David Necker                                           

Delegates present, Dick Lichtenheld, Joan Millspaugh and Barb Saenger

Delegates absent: Shirley Beer Powell, Cody Powell, Adrienne Klokinis, Dick Anderson, John Owens, Rita Coltrane, Ed Jukkola, Brian Stopps, Jade Goldfogel, Susan Jacobson, Nancy Clarke and Lynn Stevens

Staff:   Cheryl McDade, Lane Roberts, Terri Wiebold, Tim Gamble, Lorraine Masonheimer and Sharon Kollmar

B. Board Meeting Process

Guests present where given a copy of the Homeowner Input Guidelines.

C.  Approval of Agenda

MOTION by Hoffman to approve the agenda adding a 10 minute executive session immediately following the meeting; seconded by Gilbert; motion approved and carried.

2. MINUTES – May 17, 2007 Minutes

MOTION by Havercroft-Miller to accept the May 17, 2007 minutes; seconded by Conner; motion approved and carried.

3.  OPEN FORUM

There was no one present requesting to speak during this time.

4.  METRO DISTRICT

There was no one present to give a report.

5.  PARKS AUTHORITY

Cygan reported the June 21, 2007 Parks Authority meeting was canceled because a quorum was not established. The authority is waiting on the Incorporation effort, Walgreens and LaGae to move forward to see what impact they will have on future parks and open space.

6. CPN INCORPORATION

A. Update – Shul

Shul stated that the settlement agreement between CPN and the Village was signed two weeks ago. CPN is waiting for the judge to rule before the election date can be set.

The Castle Pines North Preservation committee will meet with CH2M Hill to finalize the financial numbers and present the final feasibility report to residents in the near future. The information will include the financial impact on each household in CPN.

Shul anticipates July will mark the beginning of great strides forward in the incorporation effort.

Ongoing email alerts, the Citizens for the Preservation of Castle Pines North website and The Connection community newsletter will continue to inform residents with up-to-date information on incorporation. The CPNPC website is www.cpnpc.org

7.  MANAGEMENT/FINANCIAL

A. Monthly Financial Report

Monthly financial & Statistic Report

McDade distributed the monthly financial and statistics report for May payables.  The Association has a total of 3,246 Master Association member homes as of May 31, 2007 with a total of 21 closings in May (21 re-sales, 0 new and 0 lots). 2007 Annual Dues invoices were mailed to members February 15, 2007 and as of the end of May accounts receivable are $52,105. The Master Association website averaged 1,138 unique visitors each day during May. The financial situation continues to be good.

B. Annual Dues Issue

McDade reported the collection letter was sent to the homeowner on May 31, 2007. McDade will monitor progress to resolve this issue.

McDade reported that a letter from the Master Association’s attorneys was sent to Check Free, the company who processes online bill payments for many financial institutions, asking for reimbursement of hours paid by CPNMA to contractors to resolve the issue. Check Free had errored in processing payments to the Master Association this year by making checks payable to the Metro District and sending them to the Metro District address. McDade will continue to monitor progress to resolve this issue.

Next month the Master Association will receive the 2006 audit report. McDade will present the report to the board.

Approval of the May Financial Report and June Payables

Havercroft-Miller MOTIONED to accept the May Financial Reports and June payables; Gilbert seconded; motion approved and carried.

8.  MASTER ASSOCIATION SERVICES

A. Communications

Newsletter

Roberts was not present at the time to report and will provide updates at the next meeting.

Website

Gamble noted that the Business in the Pines website received on average 40 unique visits per day for May.  Gamble and Kollmar will be finalizing a web banner advertising program for Business in the Pines members. The banner ad will be visible on each page on the Master Association’s website. The revenue generated from the banner ad program will stay with the Business in the Pines organization. The new program will be reviewed every 90 days with progress reports presented to the board each month. If the program is successful, the program may be expanded to non-members. Gamble and Kollmar will finalize the advertising program and present it to the board in the near future.

Gilbert MOTIONED to accept the Business in the Pines banner ad advertising program proposal; Havercroft-Miller seconded; motion approved and carried.

B. Business in the Pines

Update

Kollmar reported a $7,000 checking account balance for Business in the Pines organization and financials will be presented at the July board meeting.

Shul stated that Market in the Pines was a success and has great potential for the community. Fresh produce will be introduced for the next event.

Kollmar asked the Master Association to waive the fee for the CPN homeowner’s mailing list ($100 value) as Business in the Pines has proposed mailing a postcard with member’s logos to all residents.

Havercroft-Miller MOTIONED to accept waiving the fee for the CPN homeowner’s mailing list ($100 value) to Business in the Pines; Hoffman seconded; motion approved and carried.

9.  COMMITTEE – COMMUNITY ACTION

A.  Development/Referrals

CC-20 Update

There was nothing new to report.

CC-20 Inclusion Agreement

There was nothing new to report.

Walgreens Commercial

There was nothing new to report.

The Ridge T Mobile Cellular Light Pole

The DRC Committee is working on this plan with T- Mobile.  The main issue is still lighting for the structure. The committee agreed to have the light off at night. However, a discrepancy was found and current plans have the light on a timer illuminating 30 minutes after dusk and turning off 30 minutes prior to dawn—leaving the light on all night. The plan includes a 4” barrier shield around the light to direct it downward. The cellular pole is 35’, 19” in diameter with 3 ponderosa pines surrounding it. Residents have complained the light will negatively impact BristleCone, Forest Park and surrounding neighborhoods. It was decided the Master Association’s attorney will send a letter to the county outlining the misunderstanding and ask for resolution to turn off the light at night.

LaGae Ranch Update

A new map has been completed. The proposed plans and map will be discussed in a meeting on Monday, June 15, 2007.   No commercial development is planned for the area.

Castle Pines Business Building

There was nothing new to report.

B.  Safety Committee

Community Safety Issues

South Metro Fire and Rescue has undergone management changes and negotiations continue between the Master Association to add the new fire station off of Monarch at Hidden Pointe Blvd. Wiebold met with the new Fire Chief to discuss an efficiency report that may lead to staff reductions and longer response times. The report did not include new stations although the Chief stated it may be an option. Wiebold will receive a response time report for CPN from the department on Friday, June 22, 2007 and present the report to the board in July, 2007.

Conner reported the South Metro Fire and Rescue will return the medical equipment to the CPN fire station. The equipment was removed from CPN and taken to the Village station. South Metro Fire and Rescue admitted the majority of medical calls generate from CPN.

Emergency Preparedness Guide Distribution

No report.

Community Safety Volunteer Program, Public Safety Calls Report, Neighborhood Watch Program

Langley-Finnegan distributed the most recent statistics for dispatch calls to sheriff, fire and rescue services and the most recent sex offender list for the CPN area.  She announced the Douglas County Sheriff's Office Community Safety Volunteers have clocked over 10,000 hours of volunteer time already serving the DCSO and the local community. There are now a total of 30 CSV's in the program.  The next Academy is scheduled for Spring 2008 and information on how to apply can be obtained on the DCSO website at www.dcsheriff.net. Carol is also available to speak at local sub association meetings on the Community Safety Volunteer Program to encourage additional CPN residents interested in law enforcement and serving the community to apply

C. Air Traffic Committee Update

Shul stated Centennial Airport purchased more land to stop ongoing development. The development of land around the airport would have impacted noise in CPN due to a change in flight patterns. Shul will attend a meeting in July to further monitor the situation.

10.  OLD BUSINESS

A. Daniels Park and Daniels Park Road

Saenger reported the plans to pave Daniels Park Road are progressing and the inter-governmental agreement is nearly finalized. Once the agreement is finalized, the committee will begin public outreach meetings to inform area residents. Shul asked the committee to give a presentation for the CPN community in the near future.

B. Highlands Ranch Wildcat Trail
There was nothing new to report.

C. Cell Tower Flag Replacement
There was nothing new to report.

D. CPN II Open Space Update
Hoffman is working with Village Homes to give ownership to the Metro District of the open space on the west side of Timber Trail currently used as a trail for CPN children to walk to school.

Shul reported the dedication ceremony for Highlands Ranch Wildcat Trail is Saturday, June 23, 2007 at the trailhead.

11. NEW BUSINESS

A. CPN Crime Coverage Insurance

Wiebold recommended adding crime coverage to the existing insurance policy upon renewal scheduled for September 14, 2007. The covenants require a $250,000 policy and the quote is $47.00 per month.

B. Xcel Energy Transmission Line Upgrade

Shul reported the Xcel Energy transmission line expansion is moving forward. The PUC is expected to make a ruling in December, 2007 with no objection. The project will be complete in May, 2010.

C. Entry Monument “No Solicitation” Signage
 Gilbert stated CPN monument signs are located on Metro District property and the Master Association should have no policy regarding signage. Havercroft-Miller will meet with the Metro District to resolve the sub-HOA’s request for signage as a concerned citizen; not as a board member of CPN HOA.

D. Covenant Violations in Huntington Ridge and Claremont Estates
The two communities do not have a HOA therefore; the Master Association is acting on their behalf regarding covenant violations. The Master Association’s attorney has written three template violation letters (1st notice, 2nd notice and fine assessment). Three letters were sent to homes in violation of covenants. Gibbens will monitor any progress.

12.  ADDITIONAL HOMEOWNER INPUT

There was no additional homeowner input.
